Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Clipboard.Coach, Inc., a Delaware corporation with its principal place of business in North Carolina (“Clipboard,” “we,” “us,” or “our”). They govern your access to and use of Clipboard Coach at clipboard.coach and related web, PWA, and mobile clients (the “Service”).

By creating an account, clicking “I agree,” accepting an invitation, or otherwise accessing the Service, you accept these Terms. If you do not agree, do not use Clipboard. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

Our Privacy Policy explains how we collect and use personal information and is incorporated by reference.

1. Definitions and roles

  • Coach means a person who uses the Service to manage athletes, programs, bookings, messaging, or commerce.
  • Organization means a workspace or tenant on the Service (for example a team, academy, or facility). An Organization Owner or admin controls roster, billing settings, Stripe Connect, and staff access.
  • Athlete means an end user who receives coaching services mediated through the Service, under invitation or association with a Coach or Organization.
  • Minor means a person under 18 (or the age of majority where they live). An athlete under 13 must be registered by a parent or legal guardian, as described in our Privacy Policy.
  • Parent/Guardian means a legal parent or guardian of a Minor Athlete who consents to these Terms and the Privacy Policy and may exercise rights on the Athlete’s behalf.
  • Athlete Transaction means a payment by an Athlete or Parent/Guardian for a Coach’s offerings (such as lessons or packages) processed through Stripe Connect.
  • Platform Fee means Clipboard’s fee on Athlete Transactions (default 3.5%, unless a different rate is agreed in writing or shown in your billing settings).
  • SaaS Subscription Fee means the recurring fee a Coach or Organization pays Clipboard for access to the Service.
  • Content means programs, lesson plans, notes, assessments, videos, imported metrics, messages, profile data, waivers, and similar materials uploaded or created through the Service.

2. Eligibility and accounts

Coaches, Organization Owners, and other paying account holders must be at least 18 years old (or the age of majority) and able to form a binding contract. Athletes may use the Service when invited. Athletes under 13 may use the Service only through a Parent/Guardian who registers and consents on their behalf.

You must provide accurate registration information and keep it current. Keep your credentials confidential, use a strong unique password, and notify support@clipboard.coach promptly if you suspect unauthorized access. You are responsible for activity under your account.

Accounts are personal and non-transferable. You may not sell, rent, share, or sublicense access, create accounts by automated means, or scrape the Service outside interfaces we expressly provide. Clipboard may suspend or terminate accounts for violations of these Terms, illegal activity, security risk, Stripe risk flags, nonpayment, or safety concerns.

Coaches represent they are authorized to offer the coaching services they market through Clipboard and are responsible for any licenses or certifications their jurisdiction requires. Clipboard recommends that Coaches maintain appropriate liability insurance; insurance is not required by Clipboard unless we say otherwise in writing. Clipboard does not background-check, credential-verify, or supervise Coaches.

3. Stripe Connect and Athlete payments

For Athlete Transactions, the Coach or Organization is the sole merchant of record. Clipboard provides software and may collect a Platform Fee through Stripe Connect. Clipboard does not sell the Coach’s coaching services to Athletes and is not a party to the Coach–Athlete service relationship, except as these Terms require.

Payment card data is collected and processed by Stripe. Clipboard does not store full card numbers on its servers. Athlete payments are routed to the Coach’s Stripe Connected Account according to Stripe’s payout rules. Stripe’s processing fees and Clipboard’s Platform Fee reduce the net amount paid out to the Coach. Stripe fees are set by Stripe, not Clipboard.

Coaches are solely responsible for prices and offer descriptions; refund policies disclosed to buyers; sales, use, VAT/GST, and income tax compliance; chargebacks, disputes, Stripe reserves, and negative balances; customer service for Athlete Transactions; and keeping Stripe Connect onboarding, identity verification, and a payout bank account in good standing. Clipboard does not provide tax advice. Coaches should consult their own tax professional.

Coaches set their own refund policies for Athlete Transactions. Clipboard may display those policies in the product but does not independently promise refunds. Card networks and applicable law may still allow chargebacks or statutory remedies. If Stripe flags suspicious activity, Clipboard may freeze commerce features, suspend access, or terminate the account while risk is reviewed.

4. Clipboard SaaS fees

Coaches and Organizations pay SaaS Subscription Fees for platform access according to the plan shown at checkout (including any Founding Coach or retail tier then offered). The Platform Fee on Athlete Transactions applies in addition to SaaS fees unless we agree otherwise in writing.

Subscriptions renew automatically each billing period until canceled. You authorize Clipboard, through Stripe, to charge the payment method on file. Free trials or discounts end on the date stated in the offer; unless you cancel before then, billing begins at the then-current rates.

If a charge fails, we will email the account address. After a grace period of up to fourteen (14) days, we may suspend access until the balance is cured. Repeated failures may result in termination. You may cancel anytime in the dashboard (or by contacting support if self-serve cancellation is unavailable). Cancellation takes effect at the end of the current paid period. Except where required by law or we agree in writing, we do not refund partial periods.

We may change SaaS pricing or the default Platform Fee with at least thirty (30) days’ notice. If you object to a material fee increase, you may cancel before the change takes effect.

5. Content ownership and license

As between you and Clipboard, Coaches own their Coach Content (including programs, plans, notes, videos they upload, and import files they provide), subject to third-party rights they must clear. Athletes and Parents/Guardians retain rights in personal profile data, waiver signatures, and personal uploads as described in the Privacy Policy and applicable law.

You grant Clipboard a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process Content as needed to operate the Service; create backups; use anonymized and aggregated data to improve the product; and disclose Content when required by law or to protect rights and safety. We will not use identifiable Coach Content or an Athlete’s likeness or personal data in marketing without explicit written consent from the appropriate rights holder.

The Service software, UI, trademarks, and documentation remain Clipboard’s property. You may not reverse-engineer the Service except to the extent mandatory law allows. If you give us feedback, we may use it without obligation to you.

6. Privacy and data protection

The Privacy Policy governs collection, use, sharing, and retention of personal information. Coaching data is protected with encryption in transit and at rest as implemented in our production systems, and with role-based access controls. We do not sell personal information. We do not use tracking for advertising.

Athlete information is shared with associated coaching staff, Parents/Guardians as configured, and processors needed to run the Service (such as hosting, Stripe, email delivery, and calendar sync partners a Coach enables). When a Coach enables an integration, the Coach authorizes the data sharing needed for that feature and is responsible for providing any notices or consents required for Athletes and Parents.

After account termination or a verified deletion request, we remove or anonymize personal coaching data from live systems subject to legal and financial record exceptions, with residual backups purged on ordinary rotation (typically within thirty (30) days) unless a legal hold applies. Parents/Guardians of children under 13 have the review, correction, deletion, and refusal rights described in the Privacy Policy.

7. Athlete and minor protection

Coaches are responsible for obtaining required parental consents for Minors, keeping communications and Content appropriate, and complying with youth-sports safety and reporting laws that apply to them. Clipboard is a software tool. We do not interview, license, or supervise coaches. Parents and Athletes must evaluate Coach suitability, in-person safety, and facilities themselves.

Coaches may require waivers through Clipboard or elsewhere. Waiver enforceability is between Coach and Athlete/Parent; Clipboard is not a party and does not guarantee enforceability. Sport participation involves inherent risk of injury.

Report suspected harassment, abuse, or inappropriate conduct to support@clipboard.coach. We may investigate platform records, suspend accounts, preserve data for law enforcement, and terminate without SaaS refund if abuse is substantiated or reasonably suspected. Coaches assume all liability for coaching decisions, in-person conduct, advice, and Athlete outcomes. Clipboard is not liable for Coach misconduct.

8. Third-party integrations

Optional integrations (including Stripe Connect, Google Calendar, email delivery such as Resend, external schedulers, and CSV imports from tools such as Rapsodo, TrackMan, or HitTrax) are Third-Party Services governed by their own terms. Enabling an integration authorizes the data exchange needed for that feature. Coaches warrant that imported and uploaded Content is accurate to the best of their knowledge, lawfully obtained, and that they have rights to use it for coaching. Clipboard is not liable for third-party outages, security incidents on third-party systems, or data loss caused by Third-Party Services.

9. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPBOARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, that defects will be corrected, that the Service will meet your particular goals, or that integrations will always work. Any internal uptime target is aspirational and is not a service level agreement unless a separate written agreement says otherwise.

Clipboard is a tool only. We do not guarantee athletic results. The Service is not medical, nutritional, physical-therapy, or other licensed professional advice. Coaches are solely responsible for coaching Content and training decisions.

To the maximum extent permitted by law, Clipboard is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, goodwill, or data; business interruption; Athlete injury or coaching outcomes; payment disputes between Coach and Athlete; or Third-Party Service failures—even if advised of the possibility. Clipboard’s aggregate liability arising out of or related to these Terms or the Service is limited to the greater of (a) the SaaS Subscription Fees paid by that Coach or Organization to Clipboard in the twelve (12) months before the claim or (b) one hundred dollars (US $100). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum extent permitted.

10. Indemnification

Coaches and Organizations will indemnify, defend, and hold harmless Clipboard and its officers, directors, employees, and agents from claims arising out of or related to Coach Content, coaching decisions or advice; Athlete injuries, alleged abuse, or sports outcomes; Stripe disputes, chargebacks, or tax claims about the Coach’s offerings; privacy or security incidents caused by the Coach’s misuse or failure to obtain consents; breach of these Terms or law by the Coach or staff; and infringement claims from Coach uploads.

Clipboard will indemnify a Coach against third-party claims to the extent arising from infringement of third-party intellectual property by the unmodified Service (not User Content), or from Clipboard’s fraud or willful misconduct, excluding claims caused by Coach Content, Coach misconfiguration, or Coach negligence.

11. Prohibited conduct

You must not:

  • Harass, abuse, exploit, groom, or endanger Athletes, especially Minors;
  • Upload illegal, infringing, defamatory, or obscene Content, including any sexual content involving Minors;
  • Use the Service for fraud, phishing, MLM schemes, or unrelated personal sales;
  • Access another Coach’s tenant, Athletes, or data without authorization;
  • Reverse-engineer, scrape, or overload the Service, or interfere with security or bot protections;
  • Share credentials or private Athlete data, or circumvent fees or plan limits;
  • Violate tax, licensing, advertising, or consumer laws applicable to your coaching business; or
  • Misrepresent affiliation with Clipboard without written permission.

Athletes and Parents must not harass others, share logins, upload illegal Content, or attempt to access Coach financial data or admin functions. We may remove Content, suspend or terminate accounts without prior notice when risk warrants, and SaaS fees already paid are non-refundable upon for-cause termination.

12. Dispute resolution

Before formal proceedings, email support@clipboard.coach and, for legal claims, legal@clipboard.coach with a description of the dispute and attempt good-faith resolution for thirty (30) days.

If unresolved, disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Mecklenburg County, North Carolina, in English. Each party bears its own attorneys’ fees unless a statute or the arbitrator awards otherwise. AAA and arbitrator fees are split equally, subject to any mandatory AAA consumer fee schedules. Disputes must be brought on an individual basis; class, collective, or representative actions are waived to the extent permitted by law.

Either party may seek temporary or preliminary injunctive relief in court for intellectual-property infringement, unauthorized access, or confidentiality or security breaches without waiving arbitration for damages. These Terms are governed by the laws of the State of North Carolina, excluding conflict-of-law rules. The Federal Arbitration Act governs the arbitration agreement.

13. Cancellation, termination, and data after a Coach leaves

Coaches may cancel a SaaS subscription anytime as described in Section 4. Clipboard may terminate or suspend for Terms violations, illegal or abusive activity, repeated payment failures, Stripe risk or fraud flags, or, with reasonable notice, if we discontinue the Service. For-cause termination may be immediate and without refund.

If a Coach cancels or their Organization is shut down, Athletes and Parents should export needed records promptly. Where the product allows, Athlete data remains accessible for up to thirty (30) days for export, then is archived or deleted under the Privacy Policy. Payment history may remain in Stripe or Coach records outside Clipboard. Coaches may export their own Coach Content within seven (7) days after termination (or longer if we agree in writing).

14. Export and data portability

Coaches may export operational coaching data (such as programs, lesson or booking history, and metrics) as CSV or JSON via product tools or by contacting support. Athletes or Parents/Guardians may request an export of Athlete personal data by emailing support@clipboard.coach from the email on file. We aim to fulfill verified export requests within five (5) business days; large video libraries may take longer. Ordinary exports are free; we may refuse or charge a reasonable fee for manifestly unfounded or excessive requests where law allows.

15. Changes to these Terms

We may modify these Terms. For material changes, we will provide at least thirty (30) days’ notice by email and/or in-app notice and by updating this page, when practicable. Urgent legal or safety changes may take effect sooner with notice. Continued use after the effective date constitutes acceptance. If you object to a material adverse change, you may cancel within the notice period without early-termination penalty for that change.

We may give you notice by email to your account address, in-app notification, a post on this page or the Privacy Policy page, or mail to an address you provide. Email and in-app notices are effective when sent. You should keep your email address current.

17. Entire agreement; severability; waiver

These Terms, the Privacy Policy, any order form or master service agreement that expressly incorporates them (which controls over these Terms on conflicting commercial terms), and any in-product policies we expressly incorporate are the entire agreement regarding the Service and supersede prior versions (including earlier placeholder terms). Stripe’s terms apply between you and Stripe. No modification is valid except under Section 15 or a writing signed by an authorized officer of Clipboard.

You may not assign these Terms without our consent. We may assign them to an affiliate or successor in connection with a merger, sale, or reorganization. The parties are independent contractors. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Failure to enforce a right is not a waiver. Provisions that by nature should survive termination (including intellectual property, disclaimers, liability limits, indemnity, and dispute resolution) survive.
